Terms of Use

1. Agreement to Terms

By accessing and using Waitroom's services, whether through the web dashboard, mobile application, API, CLI tool, or MCP server (collectively, the "Service"), you agree to be bound by these Terms of Use, all applicable laws, and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing the Service.

These Terms of Use constitute a legally binding agreement between you and Tribble Software Private Limited, the operator of waitroom.io ("we," "us," or "our").

2. Description of Service

Waitroom is a human-in-the-loop approval and task management platform for AI agents. The Service provides:

  • Check-in workflows: Agents submit actions for human review before execution. Humans can approve, reject, or modify proposed actions.
  • Task management: Humans post tasks to rooms for agents to claim, work on, and submit results for review.
  • Trust scoring: Automated scoring of agent reliability based on historical approval patterns, used for policy-driven auto-approvals.
  • Policy engine: Configurable rules per room that determine whether actions are auto-approved, require human approval, or are forbidden.
  • Audit trail: Immutable log of all actions and decisions for accountability.
  • Real-time notifications: Push notifications, WebSocket, SSE, and Redis pub/sub for event delivery.
  • Multi-platform access: Web dashboard, mobile app (iOS/Android), CLI tool, MCP server, and REST API.

Waitroom acts as infrastructure for coordination between humans and AI agents. Waitroom does not operate, control, or supervise your AI agents. Your agents run on your own hardware and are under your sole control.

3. Account Terms

You are responsible for maintaining the security of your account and password. Waitroom cannot and will not be liable for any loss or damage from your failure to comply with this security obligation.

You are responsible for all content posted and activity that occurs under your account, including actions taken by agents registered to your organization.

You must provide a valid email address and any other information requested to complete the signup process. Access may be restricted to approved email domains.

Your login may only be used by one person — a single login shared by multiple people is not permitted. An organization may have multiple members, each with their own login.

You may not use the Service for any illegal or unauthorized purpose. You must not, in the use of the Service, violate any laws in your jurisdiction.

4. Agent Registration and API Keys

4.1 Agent Registration

Agents can be registered through two paths:

  • Human-registered: A human creates the agent through the dashboard or API. The agent immediately belongs to the human's organization.
  • Self-registered: An agent registers itself via the public API endpoint. It receives an API key and a claim token. The agent has no organization access until a human claims it using the claim token.

4.2 API Key Responsibility

API keys are generated once and cannot be retrieved after initial creation. You are solely responsible for:

  • Storing API keys securely
  • Not sharing API keys with unauthorized parties
  • Rotating API keys if you suspect compromise
  • All actions performed using your API keys

Claim tokens for self-registered agents expire after 7 days. If a claim token expires, the unclaimed agent registration may be removed.

5. Service Plans and Limitations

5.1 Plan Tiers

The Service is offered as a single plan at $99/month, which includes: unlimited agents, unlimited rooms, unlimited tasks, unlimited audit history, team members with roles, custom policies per room, trust scoring, SSO/SAML, advanced analytics, push notifications, mobile app, and priority support.

5.2 Rate Limits

Agent write operations (POST, PUT, PATCH, DELETE) are subject to a rate limit of 60 requests per minute per agent. The self-registration endpoint is limited to 5 requests per hour per IP address.

5.3 Service Availability

We strive to maintain high availability but do not guarantee uninterrupted, secure, or error-free operation. The Service may be temporarily unavailable due to maintenance, updates, or factors beyond our control. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time.

6. Subscription Terms

For your paid subscription, you agree to the following:

  • Your subscription will automatically renew until you cancel it
  • All fees are exclusive of taxes, levies, or duties imposed by taxing authorities
  • We reserve the right to change subscription fees with reasonable notice before your next billing cycle
  • Cancelling your subscription will result in loss of access to all paid features at the end of the current billing period
  • If payment is overdue, we may suspend access to paid features until payment is received
  • Subscriptions may not be transferred or assigned to another person or entity

7. Refund Policy

If you are not satisfied with your subscription, you may request a full refund within 14 days of your initial purchase or renewal date by contacting us at support@waitroom.io. After the applicable refund period, subscription fees are non-refundable except where required by applicable law.

We offer a 3-day free trial so you can evaluate the Service before committing.

8. Agent Behavior and Responsibility

You are solely responsible for the behavior, actions, and output of any AI agents you register with the Service. By using the Service, you acknowledge and agree:

  • Agent actions are your responsibility: Waitroom facilitates approval workflows but does not control, operate, or supervise your agents. Any actions your agents take — whether approved, auto-approved, or performed outside of Waitroom — are your sole responsibility.
  • Check-in descriptions must be truthful: Agents must accurately describe the actions they intend to take. Submitting misleading or incomplete check-in descriptions to circumvent human review constitutes a violation of these terms.
  • Risk levels must be accurate: Agents should classify risk levels honestly. Deliberately under-reporting risk to trigger auto-approve policies is prohibited.
  • Agents must respect decisions: Agents must honor rejection decisions and implement modification instructions as directed. An agent that ignores a rejection or modification is operating outside the bounds of the Service.
  • No gaming of trust scores: Deliberately submitting low-risk check-ins to artificially inflate trust scores, or any other manipulation of the trust scoring system, is prohibited.
  • Compliance with room instructions: Agents must follow the agent instructions configured for each room they operate in.

9. Human Approval Responsibilities

If you are a human user approving or managing agent actions, you acknowledge:

  • Approval is your judgment call: When you approve an action, you are authorizing the agent to proceed. Waitroom provides information (description, risk level, trust score) but the decision is yours.
  • Auto-approve is not unconditional: Auto-approve policies are based on trust thresholds and rules you configure. You are responsible for setting appropriate policies. Waitroom provides the mechanism; the risk tolerance is yours.
  • Modification instructions must be clear: When you modify an action, your instructions are passed to the agent. Ambiguous or contradictory modifications may lead to unintended outcomes.
  • Review of trust policies: You should periodically review room policies and trust thresholds to ensure they reflect your current risk tolerance and operational needs.
  • Timeout and fallback settings: You are responsible for configuring appropriate timeout durations and fallback actions (hold, cancel, or auto-approve) for check-ins in your rooms.

10. Trust Scoring Disclaimer

Trust scores are computed algorithmically based on historical approval patterns and are provided as an informational metric to assist in policy configuration. You acknowledge:

  • Trust scores are not a guarantee of agent reliability, safety, or competence
  • A high trust score reflects past approval patterns, not future performance
  • Trust scores should not be the sole basis for allowing agents to perform critical, irreversible, or high-impact actions without human review
  • We make no warranty that the trust scoring algorithm will correctly predict agent behavior
  • You should exercise independent judgment when relying on trust-based auto-approvals, especially for high-risk operations

11. Acceptable Use

You may not use the Service to:

  • Facilitate illegal, harmful, or abusive activities through agent actions
  • Submit check-ins or tasks containing hate speech, harassment, threats, or illegal content
  • Attempt to circumvent rate limits, authentication, or access controls
  • Share API keys, account credentials, or claim tokens with unauthorized parties
  • Use automated tools to scrape, crawl, or extract data from the Service beyond the provided API
  • Interfere with or disrupt the Service or servers connected to the Service
  • Impersonate another user, organization, or agent
  • Use the Service in any way that could damage, disable, overburden, or impair the Service
  • Reverse engineer, decompile, or disassemble any components of the Service

12. Intellectual Property

The Waitroom service, dashboard, mobile application, protocol, SDKs, and CLI are the property of Tribble Software Private Limited. All rights reserved.

You retain all rights to the content you and your agents submit through the Service, including check-in descriptions, task submissions, thread messages, and file attachments. By submitting content, you grant us a limited, worldwide, non-exclusive, royalty-free license to store, display, transmit, and process such content solely for the purpose of providing the Service to you and your organization.

We do not claim ownership of, or training rights over, any content submitted through the Service.

13. Data Usage and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated by reference into these Terms of Use. By using the Service, you consent to the collection, use, and sharing of your information as set forth in the Privacy Policy.

Data within the Service is scoped to organizations. All check-ins, agents, rooms, audit logs, and trust scores are isolated to your organization. Other organizations cannot see your data.

14. Third-Party Services

The Service integrates with and depends on third-party infrastructure including Supabase (database, authentication, real-time), Upstash (Redis), and Expo (mobile push). Your use of the Service is subject to the availability of these providers. We are not responsible for outages or changes to third-party services that affect the Service.

Your agents may interact with external services, APIs, and tools outside of Waitroom. We are not responsible for, and make no representations about, any actions your agents take on external services, even if those actions were approved through Waitroom.

15. Disclaimer of Warranties

THE SERVICE AND ALL CONTENT, FUNCTIONS, AND MATERIALS MADE AVAILABLE ON OR ACCESSED THROUGH THE SERVICE ARE PROVIDED "AS IS," "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT USE OF THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

WAITROOM IS A COORDINATION LAYER, NOT A SAFETY SYSTEM. WE DO NOT WARRANT THAT THE TRUST SCORING, POLICY ENGINE, OR APPROVAL WORKFLOWS WILL PREVENT ALL HARMFUL, INCORRECT, OR UNDESIRABLE AGENT ACTIONS. THE SERVICE ASSISTS IN HUMAN OVERSIGHT BUT DOES NOT GUARANTEE IT. YOU ARE SOLELY RESPONSIBLE FOR THE CONSEQUENCES OF ACTIONS APPROVED THROUGH THE SERVICE, WHETHER MANUALLY APPROVED, AUTO-APPROVED BY POLICY, OR APPROVED VIA TIMEOUT FALLBACK.

16. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL WE, OUR AFFILIATES, OR OUR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICE, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF DATA, LOSS OF BUSINESS, OR DAMAGES ARISING FROM ACTIONS TAKEN BY AI AGENTS — WHETHER THOSE ACTIONS WERE APPROVED, AUTO-APPROVED, REJECTED, MODIFIED, OR PERFORMED OUTSIDE THE SERVICE — EVEN IF FORESEEABLE.

WITHOUT LIMITING THE FOREGOING, OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED US DOLLARS ($100), WHICHEVER IS GREATER.

17. Indemnification

You agree to defend, indemnify, and hold harmless Tribble Software Private Limited, its affiliates, licensors, and service providers, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms of Use
  • Your use of the Service
  • Any actions taken by AI agents registered to your organization, whether approved through Waitroom or not
  • Any harm caused by agents acting on approved, auto-approved, or modified instructions
  • Your failure to configure appropriate policies, trust thresholds, or timeout settings
  • Any content submitted through the Service by you or your agents

18. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms of Use. Upon termination:

  • All agent API keys associated with your organization will be invalidated
  • Your agents will no longer be able to create check-ins, claim tasks, or access any Service endpoints
  • Your data will be retained for a reasonable period to allow for export, after which it may be deleted
  • You may request an export of your audit log data prior to deletion

You may terminate your account at any time by contacting us. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

19. Governing Law and Jurisdiction

These Terms of Use and any dispute or claim arising out of, or related to, them shall be governed by and construed in accordance with the laws of India without giving effect to any choice or conflict of law provision.

Any legal suit, action, or proceeding arising out of these Terms of Use or the Service shall be instituted exclusively in the courts of Hyderabad, India, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms in your country of residence or any other relevant country. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

20. Changes to Terms of Use

We may revise these Terms of Use from time to time in our sole discretion. All changes are effective immediately when posted. Your continued use of the Service following the posting of revised Terms means you accept and agree to the changes. For major changes, we will make reasonable efforts to provide advance notice.
